Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (as an individual or on behalf of your organization) and Janitor AI Inc. ("Janitor.ai", "we", "our", or "us") governing your access to and use of the Janitor.ai platform, website, and related services (collectively, the "Service").

By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Service Description

Janitor.ai is a software-as-a-service (SaaS) platform for data quality, deduplication, normalization, and cleanup. The Service allows users to upload structured data files, apply configurable cleanup rules, detect anomalies, and export cleaned data. Features vary by subscription plan as described on our pricing page.

3. Accounts and Eligibility

• You must be at least 18 years old and legally capable of entering into contracts.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must provide accurate, current, and complete registration information.
• You are responsible for all activities that occur under your account.
• One person or legal entity may not maintain more than one free account.

4. Acceptable Use

You agree not to use the Service to:

• Upload data that infringes third-party intellectual property rights or applicable privacy laws.
• Attempt to reverse-engineer, decompile, or extract the source code of the Service.
• Use the Service for any illegal purpose or in violation of applicable laws.
• Circumvent usage limits, rate limits, or access controls.
• Resell, sublicense, or white-label the Service without express written permission.
• Upload malicious code, malware, or files designed to damage or interfere with systems.
• Scrape, crawl, or systematically extract data from the Service outside of permitted API use.

5. Subscription, Billing, and Cancellation

Paid plans are billed monthly or annually as selected at signup. All fees are in U.S. dollars and are non-refundable unless required by applicable law. Annual plans are billed upfront for the full year. Prices may change with 30 days advance notice to registered account holders.

You may cancel your subscription at any time via your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. Downgrading to a free plan may result in loss of access to paid features and deletion of data beyond free plan limits.

6. Your Data and Intellectual Property

You retain full ownership of all data files and content you upload to the Service ("Customer Data"). By using the Service, you grant Janitor.ai a limited, non-exclusive, royalty-free license to process your Customer Data solely for the purpose of providing the Service to you.

We do not claim any ownership rights over your Customer Data. We will not access, share, or use your Customer Data for any purpose other than delivering the Service, as described in our Privacy Policy. Customer Data is not used to train AI or machine learning models.

The Service itself, including its software, algorithms, user interface, trademarks, and documentation, is the exclusive intellectual property of Janitor AI Inc. and is protected by applicable intellectual property laws.

7. Service Level Agreement (SLA)

We target 99.5% uptime for Growth and Starter plans and 99.9% uptime for Enterprise plans, measured monthly excluding scheduled maintenance. Scheduled maintenance will be announced at least 48 hours in advance via our status page. We do not provide SLA credits for downtime on free or trial accounts.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. DATA CLEANUP RESULTS ARE GENERATED ALGORITHMICALLY AND SHOULD BE REVIEWED BY A QUALIFIED HUMAN BEFORE BEING USED IN CRITICAL BUSINESS PROCESSES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JANITOR AI INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Janitor AI Inc. and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights by content you upload.

11. Termination

We may suspend or terminate your account immediately, without prior notice or liability, if you breach these Terms or engage in conduct that we reasonably believe is harmful to the Service, other users, or third parties. Upon termination, your right to use the Service ceases immediately, and we will delete your Customer Data within 30 days.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to binding arbitration administered by JAMS in San Francisco, California, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to registered users via email at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
